Agreement to Legal Terms

We are Magnetic Realty Inc., doing business as Magnetic Realty, Magnetic, Magnet Realty, Magnet, SF Homes, and Marin Homes (“Company,” “we,” “us,” or “our”), a Delaware corporation foreign-registered in California (DRE #02282207).

We operate the website MagneticRealty.com (the “Site”) and related products and services that reference these Terms (the “Services”).

By using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately. We may update these Terms at any time; continued use constitutes acceptance. The Services are intended for users 18 years of age or older.

1. Our Services

Magnetic Realty provides licensed real estate brokerage and related technology services in California, including traditional brokerage, exclusive buyer and seller representation, and technology-enabled products and programs described below.

Traditional Exclusive Representation – We provide full-service residential real estate brokerage services, including: (a) exclusive buyer representation, and (b) exclusive seller/listing representation. Buyer-side brokerage services are offered only on an exclusive basis pursuant to a written buyer representation agreement for a defined representation period.

TourSolo™ – Exclusive Buyer Representation with Technology-Enabled Touring – TourSolo is our exclusive-buyer program that combines a written exclusive buyer representation agreement with technology-enabled, self-guided or flexible showings, where permitted by listing brokers, sellers, and applicable access and MLS rules. Use of TourSolo requires an active exclusive buyer representation agreement with Magnetic Realty and does not create any agency relationship absent such written agreement and required statutory disclosures.

Stealth Acquisition™ – Exclusive, Confidential Buyer Outreach – A confidential, buyer-driven process allowing qualified purchasers to express interest in properties that may not be publicly listed. When Stealth Acquisition is used in connection with an active exclusive buyer representation agreement with Magnetic Realty, and once a Stealth Acquisition submission is accepted and executed by Magnetic Realty, an exclusive relationship is established in accordance with California law.

Instant Offer™ – A streamlined digital-offer platform enabling qualified buyers to submit purchase offers for listed or off-market properties. An agency relationship is created only upon written acceptance by Magnetic Realty of an Instant Offer submission and associated representation documentation, which will normally be in the form of a written exclusive buyer representation agreement and required agency disclosures.

InstantCMA™ – Automated Comparative Market Analysis. InstantCMA is an automated valuation and analytics tool that utilizes one or more third-party application programming interfaces (APIs) and software services, together with available property data, user-supplied information, Multiple Listing Service (MLS) feeds (where permitted), and public or other third-party data sources, to generate comparative market analyses. Any output generated by InstantCMA is provided solely for general informational purposes, is not warranted to be accurate, complete, current, or suitable for any particular transaction, and does not constitute an appraisal, broker price opinion (BPO), legal advice, or any other form of professional valuation or recommendation. All InstantCMA data and displayed comparable listings are subject to the rules, restrictions, and policies of the applicable MLS(s) in each market, including limitations on the display, redistribution, and use of MLS data. InstantCMA outputs are inherently dependent upon data availability, third-party systems, and user inputs and may differ materially from analyses prepared by a licensed real estate professional who independently reviews relevant data and market conditions (whether such review is performed remotely or in person). Buyers and sellers are strongly encouraged to obtain a broker-reviewed comparative market analysis from Magnetic Realty Inc. or another licensed real estate professional before making any offer, counteroffer, pricing, or listing decision with respect to a property. To the maximum extent permitted by applicable law, you acknowledge and agree that any reliance you place on InstantCMA outputs or any comparative market analysis provided through the Services is at your sole risk, and you hereby agree to release, defend, indemnify, and hold harmless Magnetic Realty Inc., its officers, directors, brokers, agents, and employees, and all third-party providers and licensors whose data, APIs, or services are used in connection with InstantCMA, from and against any and all losses, claims, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of, or reliance upon, InstantCMA or any related comparative market analysis.

ShowSolo™ – Seller-Controlled Showing Experience. ShowSolo is a technology-enabled showing program that allows sellers, landlords, or their authorized representatives to manage access to a property using scheduled, monitored, and/or self-directed showings, where permitted. Use of ShowSolo does not change or expand any existing agency relationship and may only be implemented with the authorization of the property owner or authorized decision-maker and, where applicable, the listing brokerage. All ShowSolo activity is subject to applicable laws, listing agreements, lockbox rules, and the rules and policies of the relevant Multiple Listing Service(s) in each market, including limitations on unaccompanied or self-guided access, marketing, and showing practices. Magnetic Realty Inc. may require identity verification, proof of qualification, or additional security measures before granting or arranging ShowSolo access, and ShowSolo is not available in all areas.

SilentSale™ – Private and Limited-Distribution Marketing. SilentSale is a private and limited-distribution marketing channel designed for sellers who wish to explore interest in a property without full public MLS exposure, subject at all times to applicable laws, listing agreements, and the rules and policies of the relevant Multiple Listing Service(s) in each market (including, where applicable, “Clear Cooperation” or similar requirements). In markets where MLS or brokerage rules limit or prohibit off-MLS or office-exclusive marketing, SilentSale may be unavailable, restricted, or converted into a standard listing approach to maintain compliance. SilentSale does not guarantee anonymity, a specific level of exposure, a sale, or any particular price or terms, and sellers remain responsible for consulting their own legal, tax, or other advisors regarding the implications of private or limited-distribution marketing.

VerifiedReady™ – A proprietary, user-authorized verification system operated by Magnetic Realty Inc. Users voluntarily upload identification, proof-of-funds, lender pre-approval letters, and property documentation (such as deeds, closing statements, or assessor records) for verification. VerifiedReady confirms that the materials submitted appear authentic and internally consistent.

MagnetaIQ™ and other AI tools –  From time to time, the Services may include access to MagnetaIQ™ or other artificial-intelligence or automated-assistance tools (“AI Tools”). AI Tools are provided solely for general informational and convenience purposes, do not constitute legal, tax, financial, or other professional advice, and should not be relied upon as a substitute for consultation with qualified professionals. AI-generated outputs may be incomplete, inaccurate, outdated, or inconsistent with current market conditions, laws, regulations, or MLS rules, and Magnetic Realty Inc. does not warrant or guarantee the accuracy, reliability, completeness, or suitability of any such outputs, all of which are provided “AS IS” and “AS AVAILABLE” and used at your sole risk. Results may depend heavily on the information and prompts you provide, and you are solely responsible for independently verifying any AI-generated content before relying on it in connection with any decision, transaction, or action. Use of MagnetaIQ™ or any AI Tools does not create an agency, brokerage, attorney-client, or fiduciary relationship with Magnetic Realty Inc., and, without limiting any other limitations of liability in these Terms, Magnetic Realty Inc. shall not be liable for any decision, action, or inaction you take in reliance on AI-generated content, including any lost opportunities, failed transactions, or disputes arising therefrom.

Magnetic Realty Inc. may, at its discretion, review publicly available property information or title-record data solely to confirm that property documentation provided by the user aligns with public records. VerifiedReady does not constitute a formal title search, title insurance, or legal certification of ownership.

VerifiedReady does not obtain records from any financial institution or government agency without user consent and does not make credit decisions or provide financial advice. The VerifiedReady process provides user-controlled verification of identity, property documentation, and purchase readiness.

Buyer Representation Exclusivity Requirement – Except where prohibited by law or expressly agreed otherwise in a separate written agreement, Magnetic Realty represents buyers only on an exclusive basis. Registering for a user account, using the Site, requesting information, scheduling tours (including through TourSolo), or submitting Stealth Acquisition or Instant Offer inquiries does not by itself create an agency or brokerage relationship. Any buyer-broker relationship with Magnetic Realty must be documented in a separate written agreement that defines the scope, duration, and compensation terms of that exclusive representation, together with any required agency and disclosure forms under California law.

Important Disclaimers and Rights Reserved
Magnetic Realty reserves the absolute right to review, approve, or reject any submitted offer or representation request at its sole discretion. Submissions may be refused, withheld, or returned without action if, in our professional judgment, they are:

  • Unsubstantiated or not supported by credible proof of identity, qualification, or financial capacity;
  • Unreasonably aggressive, speculative, or not reflective of current market conditions;
  • Submitted in bad faith or in violation of applicable law or MLS/board policy.

We may require proof of funds, verification of pre-qualification, or identity authentication before engaging in any brokerage activity or transmitting an offer to a property owner.

All real-estate brokerage activities are conducted under California Department of Real Estate regulation and consistent with the fiduciary duties and disclosure requirements applicable to agency relationships under California law.

2. MLS and IDX Data Disclaimers

Our Site displays property listings obtained through Internet Data Exchange (IDX) feeds from multiple Multiple Listing Services (MLS), including but not limited to BAREIS MLS, SFAR MLS, MLSListings Inc., BridgeMLS, MetroList MLS, CRMLS, and others.

Legal Disclosures and Limitations
MLS data is deemed reliable but not guaranteed. Data is for personal, non-commercial use only and may not be used for any other purpose. Unauthorized reproduction, scraping, or redistribution is strictly prohibited. MLS listing data, photographs, and related media are the copyrighted property of each respective MLS and its participants. Additional attribution or copyright notices may appear on individual listing pages. Magnetic Realty Inc. does not create, control, verify, or guarantee the accuracy of any MLS or IDX feed content, photographs, or descriptions. All listing information is provided “as is” directly from third-party MLS data sources, and we assume no responsibility for errors, omissions, delays, or reliance on such data.

3. Intellectual Property Rights

All content, branding, software, databases, logos, and trademarks (including Stealth Acquisition™, Instant Offer™, VerifiedReady™, and related marks) are the exclusive property of Magnetic Realty Inc. and are protected by U.S. and international intellectual-property laws. You may not reproduce, modify, or distribute any part of the Services without our written consent.

4. User Representations

By using the Services, you represent and warrant that all information you provide is true and accurate; you have the legal capacity to agree to these Terms; and you will not use the Services for unlawful purposes or to violate these Terms.

5. User Registration

Certain features require registration. You are responsible for maintaining confidentiality of credentials and for all activity under your account.

6. Prohibited Activities

You agree not to:

  • Misrepresent your identity or agency relationship when submitting inquiries or offers;
  • Scrape or aggregate MLS, IDX, or Site data;
  • Use the Services to defraud, harass, or mislead others;
  • Upload malware or automated scripts;
  • Interfere with Site operation or security;
  • Use the Services for unauthorized commercial purposes or to compete with Magnetic Realty Inc.

7. User-Generated Contributions

If you submit content (reviews, comments, photos, or uploads), you grant Magnetic Realty Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content. You represent that you own or control all rights and that your content does not infringe third-party rights. We may remove or edit content at our discretion.

8. Guidelines for Reviews

Reviews must reflect real experiences and may not contain defamatory, false, or discriminatory statements. We may remove reviews that violate these guidelines.

9. Social Media

You may link your account to third-party social-media platforms. We are not responsible for third-party platforms or their privacy practices.

10. Third-Party Websites and Content

The Services may include links or integrations with third-party vendors such as Zoho, Cloud CMA, or IDX providers. Magnetic Realty Inc. is not responsible for their content or policies.

11. Advertisers

Third-party advertisements may appear on the Site. We do not endorse or guarantee any advertised products or services.

12. Services Management

We may monitor use of the Services and take appropriate actions, including removal of content or suspension of accounts, to maintain compliance and integrity.

13. Privacy

Your use of the Services is governed by our Privacy Policy at MagneticRealty.com/privacy-policy.

14. Copyright Infringement (DMCA Policy)

Magnetic Realty Inc. respects intellectual-property rights and complies with the Digital Millennium Copyright Act (DMCA).

15. Term and Termination

We may terminate or restrict access to the Services at any time for violation of these Terms or applicable law.

16. Modifications and Interruptions

We may modify or discontinue any part of the Services at any time. We are not responsible for downtime or service interruptions.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

18. Dispute Resolution

Any dispute shall be resolved through binding arbitration in Marin County, California, except as otherwise required by law. Class actions and jury trials are waived to the extent permitted by law.

19. Corrections

We reserve the right to correct typographical or technical errors within the Services.

20. Disclaimer

The Services, including Stealth Acquisition, Instant Offer, VerifiedReady, and all MLS/IDX listing data, are provided “AS IS” and “AS AVAILABLE.” Magnetic Realty Inc. makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of listings, verification data, or third-party information. We are not responsible for inaccuracies or omissions in MLS or IDX data, nor for rejected or withdrawn offers. VerifiedReady is a voluntary verification system and does not create any obligation, warranty, or guarantee of transaction approval. Users assume full responsibility for reliance placed on any data or communications generated through these Services.

21. VerifiedReady Authorization and Privacy

By using VerifiedReady™, you acknowledge and agree that:

  • All documents and information you provide are submitted voluntarily and with your full authorization.
  • Magnetic Realty Inc. verifies documents solely for authenticity and consistency and may, at its discretion, reference publicly available title or property data for comparison purposes only.
  • VerifiedReady does not conduct investigative background checks, perform formal title searches, or make credit decisions.
  • You may withdraw consent and request deletion of your uploaded documents at any time by contacting privacy@magneticrealty.com.
  • All data is processed and stored in compliance with the California Consumer Privacy Act (CCPA/CPRA) and Magnetic Realty’s Privacy Policy.
  • Your VerifiedReady status is user-controlled and will not be shared with third parties without your explicit direction.

VerifiedReady verification confirms document consistency only. It should not be interpreted as creditworthiness, title certification, or loan approval. Magnetic Realty Inc. provides this service solely as a voluntary, user-authorized verification to enhance transparency and readiness in real-estate transactions.

22. Limitation of Liability

To the fullest extent permitted by law, Magnetic Realty Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages. We disclaim liability for listing errors, MLS data inaccuracies, rejected offers, or failed transactions. Our total aggregate liability shall not exceed ten U.S. dollars (US $10.00).

23. Indemnification

You agree to defend and hold harmless Magnetic Realty Inc., its officers, brokers, agents, employees, and affiliates from any claim, loss, or expense arising from your use of the Services or your violation of these Terms.

24. User Data

We may retain and use data you provide for legitimate business purposes. We are not responsible for data loss or corruption.

25. Electronic Communications, Transactions, and Signatures

By using the Services, you consent to receive communications electronically and agree that digital signatures and records are legally binding.

26. California Users and Residents

If a complaint cannot be resolved with us, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the Department of Consumer Affairs at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, Phone: (800) 952-5210.

27. Miscellaneous

These Terms constitute the entire agreement between you and Magnetic Realty Inc. If any provision is found invalid, the remainder remains enforceable. No joint venture, agency (except as expressly created under Stealth Acquisition, TourSolo, Instant Offer, or a separate written exclusive representation agreement), or employment relationship is created by these Terms. We are not responsible for events beyond our reasonable control.
